ReasonNotes is an AI-powered medical scribe service that helps healthcare professionals generate clinical documentation from audio recordings of patient encounters. Our Service includes:

• Audio transcription and processing
• AI-generated medical notes in various formats (SOAP, BIRP, DAP, etc.)
• EHR integration capabilities
• Chrome extension for easy workflow integration
• HIPAA-compliant data processing and storage

3. User Eligibility and Registration

To use our Service, you must:

• Be a licensed healthcare professional or authorized healthcare organization
• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations, including HIPAA

4. HIPAA Compliance and Patient Data

We understand the critical importance of patient privacy and data security. Our Service is designed to be HIPAA-compliant:

• We will execute a Business Associate Agreement (BAA) with covered entities
• All patient data is encrypted in transit and at rest using AES-256 encryption
• Audio recordings are automatically deleted after processing
• Access to patient data is logged and monitored
• We maintain SOC 2 Type II certification

You are responsible for obtaining appropriate patient consent for recording and processing patient encounters.

5. Acceptable Use

You agree to use our Service only for legitimate medical documentation purposes. You may not:

• Upload non-medical or personal audio content
• Share your account credentials with unauthorized individuals
• Attempt to reverse engineer or compromise our Service
• Use the Service for any illegal or unauthorized purpose
• Violate any applicable healthcare regulations or professional standards

6. Subscription and Payment

Our Service is provided on a subscription basis. By subscribing, you agree to:

• Pay all applicable fees as described in your chosen plan
• Automatic renewal of your subscription unless cancelled
• Responsibility for all charges incurred under your account
• Our right to modify pricing with 30 days' notice

You may cancel your subscription at any time. Refunds are provided according to our refund policy.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by ReasonWorks AI Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your medical data and generated notes. We claim no ownership rights over the content you create using our Service.

8. Disclaimers and Limitations

While we strive for accuracy, our AI-generated content is intended to assist, not replace, professional medical judgment:

• All generated notes should be reviewed and verified by qualified healthcare professionals
• We do not provide medical advice or diagnosis
• The Service is provided "as is" without warranties of any kind
• We are not liable for any medical decisions made based on AI-generated content

9. Limitation of Liability

To the maximum extent permitted by law, ReasonWorks AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service will cease immediately, and we will securely delete your data according to our data retention policy.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Illinois.
